https://amg.press.ln-trust.com ("PRESS") is owned and operated by Academy Music Group Limited, a company registered in England, and Wales with company registration number 3463738 and with its registered office at 211 Stockwell Road, London, SW9 9SL ("we"/"us"/"our").

PRESS is provided for the benefit of journalists and other media contacts who have registered with us, and whom we have authorised to be given access ("Media Contacts").
These are the PRESS terms of use ("Terms"), which apply to the use of PRESS by Media Contacts. You must agree to the Terms before your registration with PRESS will be accepted. These Terms are in addition to the PRESS Privacy Policy, and the terms and conditions and privacy policy of the Academy Music Group website through which you access PRESS.
We will upload content, including without limitation, press releases, artist biographies, images and/or videos ("Content") to PRESS from time to time for use by  Media Contacts. Media Contacts may then publish the Content, provided that such publication is strictly in accordance with all of the provisions of the Terms.

1 ELIGIBILITY

1.1 To be eligible to register for PRESS you must be:
(a) either: (i) a member of the press, for example, a journalist for a national, international, regional or student newspaper; employed by a national or regional radio station; a freelancer; a photographer; or other member of the published and/or broadcast media; or
 (ii) otherwise in involved in the promotion of music events, for example, an employee of a concert venue, theatre or similar entity with responsibility for publicity and/or promotions; an employee of a record label; involved in artist management; or an employee of an advertising or graphic design agency; (a) resident in the UK; and (b) over the age of 18.

2 REGISTRATION AND AUTHORISATION PROCEDURE

2.1 To register for PRESS you must fill in the on-line registration form. All fields of information must be completed accurately and in full for a registration form to be processed and accepted. Failure to fully complete the form will result in it being rejected.
2.2 You must agree to be bound by these Terms before we will approve your registration as a Media Contact.
2.3 If we are satisfied (from the contents of your registration form) that you fulfil the eligibility requirements, we may authorise your registration as a Media Contact. We reserve the right to reject any application (and accordingly refuse access to PRESS) for any reason in our sole discretion, including without limitation if we do not believe that such application fulfils the eligibility requirements.
2.4 Approved applicants will be authorised as Media Contacts, and provided with log-in credentials which will enable them to access PRESS.

3 INTELLECTUAL PROPERTY AND RIGHT TO USE

3.1 You acknowledge and agree that all copyright, trade marks and all other intellectual property rights in all information, material or Content contained within PRESS shall remain at all times owned by us or our licensors. You are permitted to use this material only as expressly authorised by us.
3.2 We hereby grant Media Contacts a revocable, royalty-free right and licence to download and use the Content for publication in any media in any part of the world, subject to and in accordance with the Terms (including without any limitation any Embargo as detailed in clause 5).
3.3 You acknowledge that although you are allowed to publish the Content, you shall not attempt to pass the Content off as your own, or to sell any rights in the Content on to third parties.
3.4 Except for Personal Data (as defined in our privacy statement), any information you submit to PRESS, whether by way of comment, any chat room function or otherwise, will not be treated as confidential and you acknowledge that we may use such information for any purposes subject to these Terms.
3.5 All rights not expressly granted in the Content and/or in PRESS, and any other material or information on PRESS are hereby reserved.

4 YOUR OBLIGATIONS

4.1 You will not: :
(a) use PRESS (or any part of it) for any illegal purpose and you shall use it in accordance with all relevant laws;
(b) upload or transmit through PRESS any harmful programs or obscene or offensive content;
(c) use PRESS in a manner which (i) may cause PRESS to be interrupted, damaged, rendered less efficient or such that the effectiveness or functionality of PRESS is in any way impaired or (ii) violates or infringes the rights of any person, firm or company (including, but not limited to, intellectual property rights, rights of confidentiality or rights of privacy);
(d) create or publish a hypertext link to any part of PRESS, attempt any unauthorised access to any part or component of PRESS or copy or distribute any part of PRESS in any medium without our prior consent; or (e) alter or modify any part of PRESS other than as may be reasonably necessary to use PRESS for its intended purpose.
4.2 You acknowledge that it is your responsibility to ensure that any Content which you choose to publish is the most current version of such Content available on PRESS, at the time you publish such Content.
4.3 You agree that in the event that you have any right, claim or action against any Media Contact arising out of that Media Contact's use of PRESS, then you will pursue such right, claim or action independently of and without recourse to us.

5 EMBARGO

5.1 You acknowledge that from time to time we may specify that Content is:
(a) time sensitive, and may not be used or published until after a specified date and time;
(b) only to be published in a certain territory (e.g. the UK);
(c) only to be published using certain media (e.g. only to be published in print newspapers); or
(d) subject to any other restriction that we may specify from time to time
(an "Embargo").
5.2 You agree to be bound by any Embargo which we may require from time to time, and acknowledge that any breach of this obligation will result in your authorisation to access and use PRESS being terminated.
5.3 In accordance with clause 15 below you agree to indemnify us for any claims or losses which we may suffer as a result of your breach of this obligation.

6 ACCREDITATION

6.1 You acknowledge that from time to time the rights in Content on PRESS may be owned by a third party and that we may specify that you may only use or publish such Content if you credit that third party.
6.2 You agree to be bound by any obligation we may place upon you to credit a third party, and acknowledge that failure to do so will result in your authorisation to access and use PRESS being terminated.
6.3 In accordance with clause 14 below you agree to indemnify us for any claims or losses which we may suffer as a result of your breach of this obligation.

7 OUR RIGHTS

7.1 We reserve the right to:
(a) modify or withdraw, temporarily or permanently, PRESS (or any part of it) with or without notice to you and you confirm that we shall not be liable to you or any third party for any modification to or withdrawal of PRESS; and/or
(b) change these Terms from time to time. Your continued use of PRESS (or any part of it) following such change shall be deemed to be your acceptance of such change. We shall notify you via PRESS if there are any changes to the Terms. If you do not agree to any change to the Terms then you must immediately stop using PRESS; and/or
(c) monitor any activity and content associated with PRESS. We may investigate any reported violation of these Terms or complaints relating to PRESS and take any action that we deem appropriate (which may include, but is not limited to, issuing warnings, suspending, terminating or attaching conditions to your access and/or removing any materials from PRESS).
7.2 We will use our reasonable endeavours to maintain PRESS. You will not be eligible for any compensation because you cannot use any part of PRESS because of a failure, suspension or withdrawal of all or part of PRESS for any reason.

9. THIRD PARTY CONTENT

We may upload Content to PRESS that has been produced by third parties (“Third Party Content”). We do not endorse and are not responsible or liable, directly or indirectly for such Third Party Content nor for any damage, loss or offence caused or alleged to be caused by or in connection with the use of or reliance on such Third Party Content.

10 LINKS TO OTHER WEBSITES
We may provide links to other websites or resources. You acknowledge and agree that we are not responsible for the availability of such external sites or resources, and do not endorse and are not responsible or liable, directly or indirectly, for the privacy practices or the content (including misrepresentative or defamatory content) of such websites, including (without limitation) any advertising, products or other materials or services on or available from such websites or resources, nor for any damage, loss or offence caused or alleged to be caused by, or in connection with, the use of or reliance on any such content, goods or services available on such external sites or resources.

11 ACCOUNTS
In order to use PRESS, you need to create an account. You must provide full and accurate information when you create your account with us. You are solely responsible for the activity that occurs on your account, and so you must keep your account password secure. You must notify us immediately if you are aware of any unauthorised use of your account.

12 USER SUBMISSIONS

121.1 We may now or in the future allow the submission to PRESS of videos and/or other communications or materials by users of PRESS (collectively "User Submissions"). User Submissions must comply at all times with these Terms and with any separate terms and conditions relating to such User Submissions that we may publish on PRESS from time to time. .
12.2 By submitting User Submissions to PRESS you hereby grant:
(a) to us, an irrevocable, perpetual, non-exclusive, transferable, royalty free, worldwide right and licence (with the right to grant sub-licences) to use, copy, modify, host, aggregate, share, prepare derivative works of, syndicate, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such User Submissions (and otherwise communicate such User Submissions to the public) through any media now known, or hereafter developed (including, without limitation, websites other than PRESS), for any purpose whether commercial, advertising or otherwise; and
(b) to each user of PRESS, an irrevocable, perpetual, worldwide, non-exclusive, royalty-free, licence to access, use and publish the User Submissions through PRESS.
12.3 By submitting User Submissions to PRESS you warrant, represent and undertake to us that:
(a) you have full power and authority to grant the rights and licences relating to the User Submissions set out in this Agreement; and
(b) the User Submissions you submit: (i) do not infringe any third party's intellectual property rights (including without limitation copyright and/or trade marks), other proprietary rights or rights of publicity or privacy; (ii) do not violate any law, statute, ordinance or regulation; (iii) are not defamatory, libellous, unlawfully threatening or unlawfully harassing; (iv) are not obscene or pornographic; and (v) do not violate any laws regarding unfair competition, anti-discrimination or false advertising.
12.4 We do not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and, subject to clause 14.7 below, we expressly disclaim any and all liability in connection with User Submissions. We do not permit copyright infringing activities or any infringement of any other intellectual property rights on PRESS. We reserve the right to remove the User Submissions without notice for any reason in our absolute discretion, including, without limitation, breach of the User Submission Conditions and/or breach of any intellectual property rights/
12.5 You acknowledge that when using PRESS, you may be exposed to User Submissions from a variety of sources, and that we are not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against us with respect thereto (subject to clause 14.7 below).
12.6 If you believe that any of the User Submissions on PRESS are inaccurate, offensive, indecent, objectionable or infringe any intellectual property rights please contact enquiries@academy-music-group.co.uk.

13 ACCESSIBILITY

We take our responsibility for making accessible web content and software seriously. We are committed to ensuring accessibility for people with disabilities and to meeting current accessibility standards, including those defined by the Disability Discrimination Act 1995 and the W3C's Web Content Accessibility Guidelines. Many Internet users with disabilities find websites difficult to use simply because of the way they are designed. We are in the process of reviewing and redesigning our websites to be as accessible as possible and to be compatible with the types of adaptive technology used by people with disabilities, including screen readers. .

14 LIMITATION OF LIABILITY

14.1 WHILST WE WILL USE REASONABLE ENDEAVOURS TO VERIFY THE ACCURACY OF ANY CONTENT, INFORMATION AND MATERIAL ON PRESS, WE MAKE NO WARRANTIES, WHETHER EXPRESS OR IMPLIED IN RELATION TO ITS ACCURACY.
14.2 Whilst we will use reasonable endeavours to ensure that we have obtained the appropriate licences and consent for any Content on PRESS, and for your subsequent publication of such Content, we make no warranties, whether express or implied in relation to such licences and consent.
14.3 PRESS is provided on an "as is" and "as available" basis for your information and personal use only without any representation or endorsement. Unless specified in separate terms and conditions relating to a particular product or service, we make no warranties of any kind, whether express or implied, in relation to PRESS, or products or services offered on PRESS whether by us or on our behalf (including free software downloads) including but not limited to, implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security, accuracy, condition or completeness, or any implied warranty arising from course of dealing or usage or trade.
14.4 Unless specified in separate terms and conditions related to a particular product or service, we make no warranty that PRESS will meet your requirements or will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that PRESS or the server which makes it available or Content, material or information offered on PRESS whether by us or on our behalf are free of viruses or bugs or are fully functional, accurate, or reliable. We will not be responsible or liable to you for any loss of content or material as a result of uploading to or downloading from PRESS.
14.5 You acknowledge that we accept no responsibility for any liability which you may have to third parties, arising from any use, including publication, of the Content (including without limitation any actions for defamation and/or breach of copyright whether such breach of copyright arises out of your failure to credit a third party for Content in accordance with clause 6, or otherwise).
14.6 We will not be liable in contract, tort (including, without limitation, negligence) or otherwise for:
(a) any economic losses (including without limitation loss of revenues, profits, contracts, business or anticipated savings); or
(b) any loss of goodwill or reputation; or
(c) loss of data or use of data; or
(d) any special or indirect or consequential losses,
howsoever arising and in any case whether or not such losses were within the contemplation of either of us at the date on which the event giving rise to the loss occurred.
14.7 Nothing in the Terms shall exclude or limit our liability for death or personal injury resulting from our negligence or that of our servants, agents or employees, or any liability in the tort of deceit.

15 INDEMNITY

You agree that you are fully responsible for and hereby fully indemnify and shall keep us fully and effectively indemnified against all claims, liability, damages, losses, costs and expenses, including legal fees, suffered by us and arising out of any breach of the Terms by you or any other liabilities incurred by us arising out of your use of PRESS (including without limitation in relation to User Submissions), or use by any other person accessing PRESS using your PC or internet access account. .

16 NOTICES

16.1 You may send us notices under or in connection with these Terms by email to enquiries@academy-music-group.co.uk.
16.2 As proof of sending does not guarantee our receipt of your notice, you must ensure that you have received an acknowledgement from us, which we will aim to send to you within 5 working days of our receipt and should be retained by you.

17 GENERAL

17.1 If any part of the Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed to be severable from these Terms and shall not affect the validity and enforceability of any of the remaining provisions of the Terms.


17.2 These Terms (as amended from time to time) contain the entire agreement and understanding between us in respect of all matters which are referred to herein and supersede any prior written or oral agreement between us relating to such matters. No oral explanation or oral information given by either of us shall alter the interpretation of these Terms. You confirm that, in agreeing to accept these Terms, you have not relied on any representation that is not expressly included herein and you agree that you shall have no remedy in respect of any misrepresentation which has not become a term of these Terms. However, nothing in these Terms purport to exclude liability for any fraudulent statement or act.


17.3 The Terms will be exclusively governed by and construed in accordance with the laws of England and Wales whose Courts will have exclusive jurisdiction in any dispute, save that we have the right, at our sole discretion, to commence and pursue proceedings in alternative jurisdictions. PRESS is controlled and offered by us from England. We make no representations that PRESS is appropriate or available for use in other countries.
